1. Who we are and what this covers

phosis.com is operated by Phosis, LLC, an Arkansas limited liability company with its principal place of business at 2701 Kavanaugh Boulevard, Suite 301, Little Rock, AR 72205, United States. In these Terms, "Phosis", "we", "us" and "our" mean Phosis, LLC, and "you" means you, the visitor or customer.

These Terms of Service govern your use of the Site and any purchase you make from it. By visiting the Site or placing an order you agree to these Terms, together with our Privacy policy, Return policy and Shipping policy, which are part of this agreement.

If you do not agree to these Terms, please do not use the Site.

2. Eligibility

You must be at least 18 years old, or the age of majority in your state if that is higher, to buy from us. By ordering you confirm that you meet that requirement and that the payment method you use is yours or that you are authorized to use it.

3. The Site

Our store is hosted on Shopify Inc., which provides the ecommerce platform, checkout and payment infrastructure that allow us to sell to you.

We may add, change, suspend or discontinue any part of the Site at any time. We are not liable to you if we do. We try to keep the Site available but we do not promise uninterrupted access.

4. Products, availability and pricing

We sell cosmetic skincare products for personal use. Quantities can be limited and products can sell out. We may limit the quantity of any product per person, per household or per order, and we may discontinue a product at any time.

All prices are in US dollars and exclude sales tax and shipping, which are calculated and shown at checkout. Prices can change without notice. A price change does not affect an order we have already accepted.

Product photography is representative. Colour, texture and packaging can vary slightly from the images on screen. Formulations and ingredient lists can change, so the label on the product you receive is the authoritative one.

5. Orders and acceptance

Your order is an offer to buy. We accept it when we send you a shipping confirmation, not when you receive the order confirmation email and not when your payment is authorized.

We may refuse or cancel any order, in whole or in part, including after you receive an order confirmation. Reasons include product unavailability, a pricing or description error, a suspected fraudulent or resale order, an order that exceeds our purchase limits, or a shipping address we cannot serve. If we cancel an order you have paid for, we refund you in full.

6. Errors in pricing and descriptions

Despite our best efforts, the Site may occasionally contain an error in a price, a description, an ingredient list, a promotion or an availability statement. We reserve the right to correct any error and to cancel or refuse any order placed on incorrect information, even after the order was submitted and payment was taken. If we cancel on this basis we refund you in full.

We are not obliged to update information on the Site except where the law requires it. A date on the Site tells you when information was last revised, not that everything on the Site is current.

7. Promotions, discount codes and gift cards

Promotions and discount codes are valid only for the period and on the products stated, cannot be combined unless we say so, have no cash value, and cannot be applied retroactively to an order already placed. We may end a promotion early. We may void a code and cancel the related order if the code was obtained or used improperly.

Gift cards are non-refundable and cannot be exchanged for cash except where state law requires it.

8. Payment

Payment is taken at checkout through our payment processors. You agree to provide current, complete and accurate purchase and account information, and to update it so we can complete your order and contact you.

By submitting payment information you authorize us and our processors to charge your payment method for the total order amount including tax and shipping.

9. Shipping, title and risk of loss

Shipping terms, rates and delivery estimates are set out in our Shipping policy. We ship within the United States only.

Title and risk of loss pass to you when we hand the package to the carrier. Where a package is lost or damaged in transit, our Shipping policy describes how we make it right, and we generally do so regardless of where risk technically sits.

10. Returns and refunds

Every order is covered by our 60-day money-back guarantee. Return shipping is paid by you unless the item is damaged, defective or incorrect. Full terms are in our Return policy, which forms part of these Terms.

11. Text message marketing

If you give us your mobile number and opt in, you consent to receive recurring automated marketing text messages from Phosis at that number, including messages sent by an automatic telephone dialing system. Consent is not a condition of purchase. Message and data rates may apply. Message frequency varies. Reply STOP to opt out and HELP for help. Carriers are not liable for delayed or undelivered messages. Our Privacy policy explains how we handle your number.

12. Reviews, comments and other submissions

If you send us a review, photo, idea, suggestion or other content, whether at our request or on your own initiative, you grant us a non-exclusive, worldwide, royalty-free, perpetual and irrevocable licence to use, reproduce, edit, adapt, publish and display it in any medium, including on the Site, in email and in advertising, together with your first name and last initial.

You confirm that the content is yours, that it is truthful, that it reflects your honest experience, and that it does not infringe anyone's rights or contain anything unlawful, defamatory, obscene or misleading. You confirm you were not paid for a review unless you disclosed that in the review itself.

We are not obliged to publish, keep or respond to any submission, and we may remove content at any time. We do not treat submissions as confidential and we owe you no compensation for them.

13. Intellectual property

The Site and everything on it, including the Phosis® name and logo, product names such as Calm, Luminous and The Power Pair, the Resilara-7™ complex name, text, photography, video, graphics, layout and code, is owned by Phosis or our licensors and is protected by copyright, trademark and other laws.

You may view and print pages of the Site for your own personal, non-commercial use. You may not copy, reproduce, republish, sell, resell, scrape, frame, mirror or exploit any part of the Site or its content without our written permission.

14. Prohibited uses

You may not use the Site or our products:

• for any unlawful purpose, or to ask anyone else to do anything unlawful;
• to violate any regulation, rule, law or local ordinance, or to infringe our intellectual property rights or anyone else's;
• to harass, abuse, insult, defame, intimidate or discriminate against anyone;
• to submit false or misleading information, including fake reviews;
• to upload or transmit viruses, worms or any other malicious code;
• to collect or track the personal information of others, to scrape, spider or crawl the Site, or to spam, phish or pretext;
• to interfere with or circumvent the security features of the Site;
• to buy for commercial resale, or to resell our products through any channel we have not authorized in writing.

We may terminate your access to the Site or refuse any future order if you breach any of these.

15. Cosmetic products, no medical advice

Phosis products are cosmetics. They are intended to cleanse, moisturize and improve the appearance of skin. They are not drugs. They are not intended to diagnose, treat, cure or prevent any disease or medical condition, including any symptom of perimenopause or menopause.

Nothing on the Site, in our emails or in our advertising is medical advice, and none of it replaces care from a qualified healthcare professional. If you have a skin condition, an allergy, a medical condition, or you are pregnant or breastfeeding, speak to your doctor or dermatologist before using any new product.

Always read the label and the full ingredient list before use, and patch test if your skin is reactive. If you experience irritation or an adverse reaction, stop using the product and contact us at hello@phosis.com and, if it is serious, contact your healthcare provider.

16. Results, testimonials and study claims

Where we cite clinical or consumer study results, those figures come from the specific study described and reflect the results of the participants in that study under the conditions of that study. Skin is individual. Your results will depend on your skin, your routine and how consistently you use the product, and they may differ from the results we describe.

Testimonials and reviews on the Site are individual experiences and are not a guarantee that you will get the same outcome.

17. Disclaimer of warranties

The Site and everything delivered through it is provided "as is" and "as available" without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, except where such a disclaimer is prohibited by law.

We do not warrant that the Site will be uninterrupted, timely, secure or error free, or that the results you obtain from using it will be accurate or reliable. Nothing in this section limits any rights you have under our 60-day money-back guarantee or under applicable consumer protection law.

18. Limitation of liability

To the maximum extent permitted by law, Phosis and its members, officers, employees, agents and suppliers are not liable for any indirect, incidental, punitive, special or consequential damages, or for lost profits, lost revenue or lost data, arising out of your use of the Site or any product bought through it, whether based in contract, tort, strict liability or otherwise, and whether or not we were advised such damages were possible.

To the maximum extent permitted by law, our total liability to you for any claim relating to the Site or a product will not exceed the amount you paid us for the order giving rise to the claim.

Some states do not allow the exclusion or limitation of certain damages. In those states our liability is limited to the greatest extent permitted by law. Nothing here excludes liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be excluded.

19. Indemnification

You agree to indemnify and hold harmless Phosis and its members, officers, employees, agents and suppliers from any claim or demand, including reasonable attorneys' fees, made by a third party because you breached these Terms or the documents they incorporate, or because you violated any law or the rights of a third party.

20. Resolving a problem

If something goes wrong, contact us first at hello@phosis.com. We take customer problems seriously and we resolve almost all of them within a few days. You agree to give us 30 days from the date you contact us to resolve the issue before starting formal proceedings.

21. Governing law and venue

These Terms and any dispute arising out of them or out of your use of the Site are governed by the laws of the State of Arkansas, without regard to its conflict of law rules. You and Phosis agree to the exclusive jurisdiction of the state and federal courts located in Pulaski County, Arkansas, and you waive any objection to venue there. This does not remove any right you have to bring a claim in a small claims court where you live, or any protection you have under the consumer law of your home state.

22. General

Severability. If any provision of these Terms is found unlawful or unenforceable, it is severed to the minimum extent necessary and the rest remains in force.

Entire agreement. These Terms together with the policies they reference are the entire agreement between you and Phosis about the Site, and they replace any earlier agreement or understanding.

No waiver. If we do not enforce a right under these Terms, that is not a waiver of that right.

Assignment. You may not assign these Terms. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.

Headings. Headings are for convenience only and do not affect interpretation.

Interpretation. Any ambiguity in these Terms will not be construed against the drafting party.

23. Changes to these Terms

We may update these Terms at any time by posting the updated version on this page and changing the "Last updated" date. Your continued use of the Site after we post a change means you accept it. The version of these Terms in effect when you place an order governs that order.
